Parties. This Experts Agreement (this "Agreement") is between TeamEx Inc., a Delaware corporation, with its notice address at 332 S Michigan Ave, Suite 121 #5233, Chicago, IL 60604 ("TeamEx", "we", "us"), and you, the individual who creates an Expert account on the Platform ("you", the "Expert"). It takes effect when you tick the acceptance box under Section 25 (your "Acceptance Date").
Key points
- Free to you. TeamEx never charges you, deducts nothing from your pay and requires no exclusivity (Section 2).
- Your Profile is built from recorded interviews with TeamEx personnel and the sources you connect (Sections 4, 5 and 7). AI Tools may help, a TeamEx person checks every item marked as checked, and you can ask for any item to be corrected or removed (Section 6).
- Anonymity. You stay anonymous until you accept an Interview Request, your intro video is blurred until then, and the current employer you name cannot see your Profile (Section 7).
- You decide. Only you accept an Interview Request. You and the Client agree pay, role and Start Date directly; TeamEx sets no rate (Section 8).
- Who employs you. In a Direct Hire the Client employs or contracts with you. In a Contract Engagement the Provider contracts with and pays you under its own agreement (Sections 9 and 10).
- Your one circumvention duty. During the Protection Period, report any offer from, or start with, a Client you were introduced to (Section 11).
- No training on your identifiable data (Section 14).
- Disputes go to individual arbitration. You may opt out within 30 days, class actions are waived where the law allows, and you keep the rights of your home country (Sections 19 and 20).
- You may close your account at any time (Section 23).
- This summary orients you; the numbered sections control.
1. Definitions
Capitalized terms not defined here have the meanings in the Terms of Use.
1.1 Expert Compensation: for a Contract Engagement, the monthly pay agreed directly between Client and Expert; for a Direct Hire, the first-year annualized gross base salary.
1.2 Start Date: the first day the Expert works for Client under an Engagement Order, as recorded there or, if different, the actual first day.
1.3 Protection Period: for every Client you are introduced to, 12 months from your Introduction to that Client, however the hire is arranged; for a Client you work for under a Contract Engagement, also the Contract Engagement itself and 12 months after it ends, including after you resign.
1.4 Expert Data: every part of a Profile, the identity and contact details revealed on Introduction, and any other information about an Expert that a Client gets through the Platform.
1.5 Client Price: the monthly amount Client pays TeamEx for a Contract Engagement: Expert Compensation ÷ 0.75.
1.6 Client Service Agreement: TeamEx's agreement with each Client, published at teamex.ai/legal/client-service-agreement.
1.7 Guarantee Period: 90 calendar days from each Expert's Start Date, during which a Client may submit a Hire Outcome Report under that agreement.
2. No fees to Experts
TeamEx charges Experts nothing and deducts nothing from your Expert Compensation; every fee TeamEx earns on an engagement or conversion is paid by the Client. TeamEx claims no damages from you for accepting work, requires no exclusivity, and imposes no non-compete or restriction on who you may work for.
3. Eligibility and account
3.1 You must be at least 18 years old.
3.2 You must be legally permitted to work in each country on your Profile, and you are responsible for your own work authorization, tax and business registrations.
3.3 You represent that you are not on, and not acting for anyone on, a United States sanctions list, and do not live in a region under country-wide United States sanctions. We screen Users against sanctions lists and may decline or end participation on that basis.
3.4 Keep your account information accurate, use one account, keep your credentials confidential and tell us promptly of suspected unauthorized use.
3.5 You accept this Agreement personally and stay responsible for your statements and conduct even if you later work through your own company.
3.6 You are not TeamEx's employee, contractor or agent, and TeamEx is not yours. TeamEx's only roles toward you are the TeamEx Interviews and resulting Profile, Introductions, and billing the Client.
4. TeamEx Interviews
4.1 The TeamEx Interviews are live, recorded video interviews with TeamEx personnel in which we verify what you tell us, such as identity and work history, and learn about your experience, skills and how you work, think and communicate. No AI system interviews you, and there is no pass or fail: every Expert who completes them gets a Profile unless 4.2 or Section 16 applies. The AI & Verification Notice explains how we build your Profile from the interviews and your Connected Sources.
4.2 We may stop the interviews or decline to publish a Profile for misrepresentation or an identity or conduct concern, or under Section 16. The interviews pause if you decline recording.
4.3 Your Profile comes only from what you provide or make available: the interviews, your materials, what you enter and your Connected Sources. To check that engagements are reported, TeamEx may review publicly available professional information about introduced Experts. A person reviews any automated finding, the Client has 10 business days after written notice to respond before any fee is invoiced, and the review is never used to build or change your Profile.
5. Recording, Transcription and Consent Notice
5.1 Scope. Each TeamEx Interview is recorded and transcribed (audio, video, screen content and transcript) by the vendor named in the AI & Verification Notice. A Client that records its own interview is responsible for its own notice and consent.
5.2 Notice. Before recording starts, we tell you, on screen, aloud or both, that the interview will be recorded and transcribed, that AI Tools may summarize the transcript and suggest Profile items, and that a TeamEx person checks every item marked as checked. The notice is part of the recording, which starts only after you agree.
5.3 Consent. By continuing after the notice you consent to recording and transcription for the purposes in 5.5, including under laws requiring every participant's consent. The TeamEx participants also consent.
5.4 Declining. You may decline recording at the start of any interview or ask us to stop during it; we then end the interview and the TeamEx Interviews cannot proceed. Your account stays open and you may restart later.
5.5 Uses. We use recordings and transcripts to (a) build, review and confirm your Profile information, including through AI suggestions under 6.1; (b) train and quality-check TeamEx personnel; (c) investigate misrepresentation, identity or conduct concerns; and (d) resolve disputes about what was said. Identifiable recordings and transcripts are not used to train machine-learning models unless you opt in under Section 14.
5.6 Access. Only TeamEx staff who need them for those purposes, and the vendors named in the AI & Verification Notice that host, transcribe or analyze them under use-limiting contracts, can access recordings and transcripts. Clients never receive them and see short quotes from a TeamEx Interview only after a TeamEx person confirms them; you may ask for correction or removal under 6.3.
5.7 Retention and deletion. Recordings and transcripts are kept while your account is open and deleted within 30 days after you delete it, unless a legal hold, dispute or record-keeping duty requires longer. Records of Profile decisions are kept for 4 years, then deleted or de-identified, subject to the same exceptions. You may ask us to delete a recording at any time; we delete it and the copies we control within 30 days, subject to the same exceptions. Your Profile items stay unless you also ask us to remove them. The Privacy Policy has the full retention table.
5.8 All-party-consent places. Where the law requires every participant's consent to record, including in Illinois, California and Washington, the 5.2 notice and your agreement to continue are each participant's consent, and the recorded announcement is our record of it. If your law requires a different form of consent, tell us before the interview and we will accommodate it or postpone.
5.9 Illinois video-interview statement. If you live in Illinois or are considered for an Illinois-based position, this is also our notice that AI Tools may summarize the transcript of your recorded video interviews and suggest Profile items; that they work by reading the transcript and proposing text that a TeamEx person confirms, changes or rejects; that they evaluate only characteristics within a Profile's scope; and that your recording is shared only as 5.6 states. The characteristic categories the AI Tools evaluate are your specialty, areas of expertise, skills, products built, industries and types of companies worked at, how you work, think and communicate, years of experience, US-team experience, country, salary expectation and US work permit.
5.10 Biometric statement. TeamEx does not create or use voiceprints, face templates or other biometric identifiers from your recordings or ID, and our service-provider contracts prohibit it. A TeamEx person verifies identity, with no automated face-matching or other biometric step. If a verification step ever creates a biometric identifier, we will first tell you in writing, get your written release stating purpose and retention period, and publish a retention and destruction schedule, as the Illinois Biometric Information Privacy Act requires.
6. Your Profile items, correction and appeal
6.1 How items are added. AI Tools may propose a summary and Profile items from a transcript. A TeamEx person confirms, changes or rejects each one before it is added; an item is marked as checked only after that. There are no personality or psychometric tests, and AI Tools are not used to infer honesty, integrity or emotion. Some items are supported by short quotes from your interviews, shown without your name.
6.2 Publication. Your Profile is published after that review, as the AI & Verification Notice describes; you may then review it as Clients see it and use 6.3 and 6.4.
6.3 Correction or removal. After publication you may at any time ask us, through the Platform or the privacy contact in Section 22, to correct or remove any Profile item, including a quote from an interview or an item from a Connected Source. A TeamEx person who did not create the item responds in writing, with reasons, within 10 business days. We correct items where warranted and remove a quote on request unless it is the sole support for an item you want to keep.
6.4 Appeal. You may appeal within 10 business days to a second TeamEx person not involved in the item or the first review, who gives a written outcome within 10 business days. That decision is TeamEx's final position, without prejudice to Section 19 and your privacy-law rights.
6.5 Your controls. You may update Profile fields marked as yours to edit, including your salary expectation, and pause your Profile's visibility at any time. A stated salary expectation does not bind you.
6.6 No retaliation. Requesting a correction, removal or appeal, declining a recording or an Interview Request, or raising a concern will not be held against you in the interviews, visibility or Introductions.
7. Your Profile: ownership, license, Connected Sources, anonymity and employer blocking
7.1 Ownership. You keep all rights in the personal information, work history, work samples, links and intro video you provide. TeamEx owns the Platform, its methods, the Profile format, and aggregated or de-identified data derived from the Platform.
7.2 License. You grant TeamEx a worldwide, non-exclusive, royalty-free license to host, store, reproduce, format, anonymize, summarize, display and transmit your Profile, intro video, recordings, transcripts and Connected Source content to operate, provide, secure and improve the Platform, to show your anonymous Profile to Clients and your identified Profile to a Client after an Introduction, and for the other uses in this Agreement and the Privacy Policy. The license excludes model training on identifiable data (Section 14). An intro video is shown in full only to a Client after Introduction and is never used to create synthetic media or a voice or likeness model.
7.3 Moral rights. To the extent the law allows, you will not assert moral rights against TeamEx or Clients for the formatting, summarizing and anonymizing described in this Section; where waiver is not permitted, this is a non-assertion for those purposes only.
7.4 After closure. When your account closes, the license in 7.2 ends for identifiable data, except as needed to complete an active engagement, keep required records or resolve a dispute. We may keep using de-identified and aggregated data.
7.5 Public profile links. If you give us the URL of a public professional profile, you authorize us to read what is publicly visible there to verify your work history. We do not log in to any third-party site as you.
7.6 Anonymity and employer blocking. Before an Introduction, a Client sees your Profile without your name, photo, current employer, email, phone, public work links or Connected Source links, and sees your intro video only blurred and anonymized with your name cut. The Client sees the rest of your Profile, such as your location, years of experience, skills, products built and traits. On Introduction, that Client alone sees your full Profile, contact details and intro video. You name your current employer in your Profile, and that employer cannot see your Profile while it is named there, so keep the name current. Anonymity cannot remove the chance that someone infers your identity from Profile content; requesting removal of a quote under 6.3 is your control over that risk.
7.7 Client duties. Each Client agrees in the Client Service Agreement to use Expert Data only to evaluate and work with you, not to identify or contact you before an Introduction, not to share Expert Data, and to keep your identity confidential after an Introduction. We act on reports of breaches.
7.8 Connected Sources. You may connect sources, such as a professional profile, code-hosting account, social account or website, so we can keep your Profile current. Connecting is your choice and you may revoke it at any time (7.11). We read what is publicly available there, and more only if you choose to make it available; we do not read private messages or log in to any site as you. For a website or other source you add, we first check that it is yours. We keep reading a Connected Source until you disconnect it or close your account. Connect only sources that are yours and that you may let us read; 11.1 applies to what we find there.
7.9 Tools you run on your own work. If TeamEx provides a tool you can run on your own computer against work you choose, it uploads only what you agree to share, never your code or secrets. You are responsible for choosing work you are entitled to analyze. The tool is licensed to you for this purpose only, is provided as is, and Section 17 applies to it.
7.10 Information taken from a Connected Source. From your Connected Sources we take information automatically, with AI Tools and without a person checking each item, and show it on your Profile with its source and date. Such an item carries no human-checked mark unless a TeamEx person has checked it. Clients see the items, not the posts, repositories, videos or pages behind them, and see your Connected Source links only after an Introduction (7.6). You may ask us to correct or remove any such item under 6.3, and 6.6 applies.
7.11 Disconnecting. You may disconnect a Connected Source or remove a link at any time in your account. We then stop reading it, remove from your Profile the items taken only from it, and delete the copies of its content we hold within 30 days, unless a legal hold, dispute or record-keeping duty requires longer. Items a TeamEx person has checked stay unless you ask us to remove them under 6.3.
8. Interview Requests and compensation
8.1 You decide. Only you can accept an Interview Request; we never accept for you or reveal your identity without your acceptance. An Interview Request is not a job offer. If you decline or let a request lapse, the Client is told only that the introduction did not proceed, and nobody is told why.
8.2 After Introduction. The Platform records the Introduction and reveals your identity to that Client (7.6). You and the Client agree compensation, role, Start Date and other terms directly; TeamEx does not take part in interviews, negotiate for either side, or set, cap, recommend or approve rates. You may interview with several Clients at once; an offer does not reserve you or guarantee your acceptance.
8.3 Communications. We do not send you Client marketing, we send TeamEx marketing only with your consent and an unsubscribe option, and we do not sell or rent your contact details.
9. Direct Hire, Expert Engagement Confirmation and the Guarantee Period
9.1 In a Direct Hire the Client employs or contracts with you directly. TeamEx is not a party to that agreement and does not supervise, direct, pay or insure your work. The Client pays TeamEx a Placement Fee.
9.2 Before the Start Date of any engagement, the Platform generates a record of the Client, role, Start Date, engagement type and, for a Contract Engagement, the term, your Expert Compensation and the Provider entity, which you accept by checkbox (the Expert Engagement Confirmation). It confirms the facts of the engagement, creates no obligation from TeamEx to you about the role, its duration or your pay, contains the undertaking in 12.2, and controls over this Agreement only for its designed fields and Special terms, for that engagement only (24.1).
9.3 Guarantee Period. Each hire has its own Guarantee Period from your Start Date. If the engagement ends within it because you resign or the Client ends it for documented performance or fit reasons, the Client may submit a Hire Outcome Report to TeamEx under the Client Service Agreement and, if TeamEx approves it, may hire another Expert found through its own search without a further fee. That gives you no rights or duties, except that we may ask you to confirm the end date and reason. TeamEx does not supply people to the Client and does not decide whether your engagement continues.
10. Contract Engagement
10.1 Contracting party. You contract with the legal entity of the Contractor of Record Provider (currently Deel) for your country (the "Provider"), on the Provider's agreement, which governs your pay, payment schedule, invoicing, tax forms, local compliance, classification and termination. You do not contract with TeamEx or the Client for the services. The Client directs the technical work. Nothing here limits any right you have under the law where you live and work.
10.2 What TeamEx is not. TeamEx operates a search engine and bills the Client. You and TeamEx agree that TeamEx is not your employer, joint employer, staffing agency, employer of record, payroll provider or payment processor. TeamEx does not set your hours, methods, tools or location, does not discipline or evaluate your work, and does not decide whether your Contract Engagement continues. TeamEx's billing arrangements create no payment obligation from TeamEx to you.
10.3 Client Price. The Client pays TeamEx the Client Price (Expert Compensation ÷ 0.75). TeamEx pays the Provider out of that amount; your Expert Compensation is not reduced.
10.4 Term and ending. A Contract Engagement has a minimum term of 6 months from the Start Date and renews for terms of the same length unless ended as the Client Service Agreement provides. You may resign under the Provider's agreement. Whether you resign or the Client ends the engagement early, your Expert Compensation stops when you stop working, and the Client's remaining obligations to TeamEx are the Client's alone.
10.5 Conversion to Direct Hire. A Client may hire you directly during the Contract Engagement or within 12 months after it ends by paying TeamEx a Conversion Fee. You remain free to accept; your only duty is to report it under 11.2.
11. Your duties
11.1 Accuracy. You represent that everything you tell us in the TeamEx Interviews, on your Profile, through a Connected Source and in any document or link you provide is true, complete, current and yours to share, and you will correct anything that becomes inaccurate. Misrepresentation is grounds for ending the interviews, removing Profile items or closing your account.
11.2 Reporting offers and starts. If, during the Protection Period, a Client you were introduced to (or its affiliate or an intermediary acting for it) offers you employment, contracting, consulting, advisory or other paid work, or you start such work, tell us through the Platform or by email immediately after the offer, acceptance or start, and in any case, for an accepted offer, before the Start Date. This includes offers made outside the Platform and for a different role than first discussed.
11.3 No circumvention; nothing more. You will not help a Client avoid its payment obligations to TeamEx, including by concealing an engagement, mis-dating a start or routing it through an intermediary. If you decline or do not respond to a Client's Interview Request, you will not use what you learned from it to contact that Client, or anyone acting for it, about work outside the Platform; if that Client offers you work within 12 months after the request, you report it under 11.2. That is the whole of your non-circumvention duty; Section 2 states what TeamEx does not require.
11.4 Conduct. Treat Users and TeamEx people professionally; attend scheduled interviews or cancel with reasonable notice; do not let anyone else take your interviews; do not harass, discriminate against or threaten anyone; and do not post unlawful, infringing or malicious content or probe, extract data from or interfere with the Platform.
11.5 Security baseline in Contract Engagements. This is the Client's and the Provider's requirement, relayed here; it is not a TeamEx instruction on how you work and does not apply to Direct Hires. You must: (a) use multi-factor authentication on every Client system that offers it; (b) use full-disk encryption on every device holding Client data, keep it patched and lock it when unattended; (c) not store Client code, data or confidential information in personal cloud or messaging accounts; (d) not enter Client code, confidential information or personal data into any AI tool the Client has not approved, and never into one that retains or trains on inputs; (e) use only the access the Client grants, and return or delete Client data and credentials when asked or when the engagement ends; and (f) tell the Client and the Provider within 24 hours after discovering actual or suspected unauthorized access to Client systems or data, or loss of a device holding Client data. Client-specific requirements in the Expert Engagement Confirmation or the Provider's agreement add to or replace this baseline.
11.6 Confidentiality. You will keep confidential, and use only for the purpose shared, non-public information about a Client received through the Platform, interviews or an engagement, and non-public information about TeamEx's methods or systems, for 5 years after this Agreement ends (and, for trade secrets and personal information, while legally protected). This duty does not cover information that is public through no fault of yours, that you already knew, or that you must disclose by law, and never stops you from discussing your own pay or working conditions or reporting suspected unlawful conduct to a government agency.
11.7 Whistleblower immunity notice. Under the United States Defend Trade Secrets Act, you will not be held criminally or civilly liable under any federal or state trade-secret law for disclosing a trade secret in confidence to a government official or an attorney solely to report or investigate a suspected violation of law, or in a filing made under seal in a lawsuit. If you file a retaliation lawsuit for reporting a suspected violation of law, you may disclose the trade secret to your attorney and use it in the proceeding if you file documents containing it under seal and do not disclose it except under court order.
12. Work product and intellectual property
12.1 Direct Hire. Ownership of what you create for a Client is governed by your agreement with the Client. TeamEx claims nothing.
12.2 Contract Engagement. TeamEx's agreement with the Provider requires your agreement with the Provider to contain a present assignment of the work product you create for the Client to the Client, or to the Provider with a present onward assignment to the Client. That assignment is not conditioned on any payment by the Client to TeamEx or by TeamEx to the Provider. In the Expert Engagement Confirmation you also give a direct undertaking in favor of the Client to keep its confidential information confidential and to confirm its ownership of the work product; TeamEx may enforce it on the Client's request. TeamEx claims no right, title or interest in work product you create for a Client and gives no warranty about how ownership is treated under the law of any country.
13. Checked items, consumer-report posture and AI Tools
13.1 An item on your Profile marked as checked in a TeamEx Interview (such as "Identity: checked on call", "Work history: checked on call", "US work permit" and "Worked with US teams") describes what a TeamEx person checked in a TeamEx Interview, against the documents and profiles you presented, on the date shown, and nothing more. TeamEx runs no third-party identity, background or credential check. The AI & Verification Notice explains each such item, including that "US work permit" reflects only your declaration and the documents you chose to share. A checked item is not legal advice, an immigration determination or a substitute for the Client's own employment-eligibility process.
13.2 Not a consumer reporting agency. TeamEx is not a consumer reporting agency and does not run criminal, credit or background checks; nothing on your Profile is a consumer report. A Client that wants a background check must get it from its own vendor, with its own disclosure to you, your written consent and the notices the law requires of it.
13.3 AI Tools. TeamEx uses AI Tools as the AI & Verification Notice describes, for example to convert a Client's search into Profile filters; suggest Profile items and summaries from your transcripts (6.1); indicate which Experts appear to meet a Client's criteria, shown alongside your full Profile and never instead of it; take information from your Connected Sources (7.10); and review public professional information (4.3). No AI Tool interviews you, declines you, removes you from search results or makes a hiring decision; Clients decide whom to contact and hire.
13.4 Automated decisions. TeamEx does not make decisions about you based solely on automated processing. If that changes, we will tell you before the decision, explain on request the information and main factors used, and give you a way to correct the information and have a person reconsider. The AI & Verification Notice describes each AI use, the data AI Tools can and cannot see, testing, and how to request human review.
14. Training on your data
14.1 We do not use your identifiable recordings, transcripts, Profile, Connected Source content, uploads from a tool under 7.9, intro video or messages to train or fine-tune machine-learning models. We may use de-identified and aggregated data to evaluate and improve the AI Tools, and we contractually prohibit our AI service providers from training on data we send them.
14.2 If we propose to use identifiable data for training, we will ask you to opt in separately, naming the data and the purpose; declining will have no effect on your Profile or Introductions.
15. Privacy and Latin America
15.1 The Privacy Policy describes the personal information we collect from Experts, its purposes, recipients, retention, transfer to the United States and your rights. TeamEx is the business, controller or responsible party for your Expert account data.
15.2 Latin America. If you live in Mexico, Brazil, Colombia, Argentina, Chile, Peru or another country in Latin America, nothing in this Agreement removes a right under the data-protection, consumer or labor law of your country that cannot be waived by contract. Those rights apply instead of any conflicting term, and you may bring a claim in the courts or before the authorities of your country.
16. TeamEx's discretion to decline, suspend or remove
16.1 TeamEx may decline, suspend, limit or end any person's access to the Platform and future Introductions at any time, for any lawful reason or none, without explaining, including by declining to run the TeamEx Interviews with you, declining to publish or display your Profile, pausing your visibility or closing your account.
16.2 This discretion is subject to anti-discrimination law, including laws prohibiting citizenship-status and national-origin discrimination in recruitment and referral, and to any right you have to an explanation of a decision made with automated tools. TeamEx does not use AI Tools for these decisions; a named TeamEx person makes and records each one.
16.3 This discretion covers only Platform access and future Introductions; TeamEx has no power to end an active engagement. If we close your account during an active Contract Engagement, we will tell you and the Provider.
17. Disclaimers and limitation of liability
17.1 TeamEx does not promise that any Client will contact, interview, hire or engage you, that any role, rate or salary will be available, or that any Client will honor an offer, and is not responsible for a Client's conduct, decisions or compliance with employment law. THE PLATFORM, THE CALLS, ANY TOOL UNDER SECTION 7.9, PROFILES AND EVERYTHING SHOWN ON THEM, AI TOOL OUTPUT AND INTRODUCTIONS ARE PROVIDED "AS IS" AND "AS AVAILABLE". TO THE MAXIMUM EXTENT PERMITTED BY LAW, TEAMEX DISCLAIMS ALL WARRANTIES, EXPRESS, IMPLIED OR STATUTORY, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY AND NON-INFRINGEMENT, AND DOES NOT WARRANT THAT THE PLATFORM WILL BE UNINTERRUPTED OR ERROR-FREE.
17.2 TO THE MAXIMUM EXTENT PERMITTED BY LAW, TEAMEX AND ITS OFFICERS, DIRECTORS, EMPLOYEES AND AGENTS WILL NOT BE LIABLE TO YOU FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY OR PUNITIVE DAMAGES, OR FOR LOST INCOME, LOST OPPORTUNITIES, LOST DATA OR REPUTATIONAL HARM, ARISING OUT OF OR RELATED TO THIS AGREEMENT OR THE PLATFORM, EVEN IF ADVISED OF THE POSSIBILITY. TEAMEX'S TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THIS AGREEMENT OR THE PLATFORM WILL NOT EXCEED USD 100. THIS CAP REFLECTS THAT TEAMEX CHARGES YOU NOTHING.
17.3 This Section does not limit liability for death or personal injury caused by negligence, fraud or willful misconduct, a data breach where the law gives you a non-waivable remedy, or any other liability that cannot be limited by law, and does not limit a non-waivable right under consumer or worker-protection law where you live. Where that law does not allow a limitation, it applies to the extent the law allows.
18. Your indemnity
You will indemnify TeamEx against third-party claims, and the reasonable costs of defending them, to the extent they arise from (a) false or misleading information you gave us; (b) work samples, links or content you provided that infringe another person's rights; or (c) your misconduct toward a Client, a TeamEx person or another Expert. This does not apply to claims arising from TeamEx's own acts or omissions, or make you responsible for any Client's conduct or payment obligations.
19. Disputes
This Section requires individual arbitration of most disputes and waives class actions and jury trials where the law allows; you may opt out under 19.6.
19.1 Informal resolution. Before arbitration or court, the party raising a claim sends the other a written notice describing it and the outcome sought, by email to the legal notice address in Section 22 (for TeamEx) or the email address on your account (for you), and we each try in good faith to resolve it for 60 days after the notice is received. Limitation periods pause during that time. A notice must be individual to you; a form notice covering many people does not start the period.
19.2 Arbitration. An unresolved dispute between you and TeamEx arising out of or relating to this Agreement, the Platform, the TeamEx Interviews or your Profile is resolved by binding individual arbitration before one arbitrator administered by the American Arbitration Association, under its Employment/Workplace Arbitration Rules where the dispute concerns your work, classification or treatment as a worker and otherwise under its Consumer Arbitration Rules. The Federal Arbitration Act governs. The seat is the county where you live if in the United States, otherwise Wilmington, Delaware; hearings are by video unless the arbitrator orders otherwise. Your filing fees are capped at USD 250, and TeamEx pays all filing, administrative and arbitrator fees above that, whoever wins, unless the arbitrator finds your claim frivolous; each side bears its own attorneys' fees unless the law provides otherwise. The arbitrator may award any individual relief a court could, must follow applicable law and gives a reasoned written award on request. This Section is the only arbitration agreement between you and TeamEx; the dispute section of the Terms of Use does not apply to Experts.
19.3 Carve-outs. This Section does not require arbitration of a claim within a small-claims court's jurisdiction; a charge or complaint filed with a government agency; a claim the law exempts from pre-dispute arbitration agreements; a dispute relating to sexual harassment or sexual assault, which you may elect to bring in court; or a request to a court for temporary relief to protect confidentiality or intellectual property while an arbitration proceeds.
19.4 Class and jury waiver. To the extent the law allows, you and TeamEx each bring claims only individually, not as plaintiff or class member in any class, collective, consolidated or representative proceeding, and each waives jury trial. The arbitrator may award relief only to the individual party and may not combine claims of different persons except for the batching in 19.5. A court decides whether 19.4 is enforceable; if it is unenforceable as to a claim, that claim is heard in the courts named in Section 20 and is never arbitrated on a class or representative basis.
19.5 Mass arbitration. If 25 or more arbitration demands raising similar claims are filed against TeamEx by the same or coordinated counsel, the AAA Mass Arbitration Supplementary Rules apply and the demands are handled in batches of 25 in the order filed, each batch with one arbitrator and one set of filing fees; after the first batch is decided the parties mediate the rest before further batches proceed. Limitation periods are tolled for every such claimant from the first filing until their demand is heard.
19.6 Opt-out. You may opt out of arbitration by emailing the legal notice address in Section 22 from the email address on your account within 30 days after your Acceptance Date, with the subject "Arbitration opt-out" and your Profile ID. Opting out changes nothing else about your Profile or participation, counts under the Terms of Use too, and means Section 20 governs where disputes are heard and 19.4 does not apply to you.
19.7 Latin America. If you live in Latin America, arbitration is optional for you: you may instead bring a claim in the courts or before the authorities of the place where you live, nothing in this Agreement waives a right under your local law that cannot be waived by contract, and TeamEx may bring a claim against you only in the courts of the place where you live.
19.8 Limitation period and changes. Any claim must be started within 1 year after it arose, unless a statute sets its own period that cannot be shortened. A change to this Section does not apply to a dispute already noticed under 19.1, and you may reject the change by emailing us within 30 days after notice of it, in which case the version you accepted continues to apply. This Section survives the end of this Agreement; apart from 19.4, an unenforceable part is severed and the rest stands.
20. Governing law and venue
20.1 This Agreement is governed by the laws of the State of Delaware, without regard to its conflict-of-laws rules, and by the Federal Arbitration Act as to Section 19.
20.2 Where the consumer-protection, privacy or worker-protection laws of the place where you live give you rights that cannot be waived by contract, those laws apply in addition to this Agreement and prevail over any conflicting term.
20.3 Any claim not subject to arbitration, including after a valid opt-out, is heard in the state or federal courts in New Castle County, Delaware, and each of us submits to their jurisdiction, except that you may sue in the courts of the place where you live if the law there gives you that right, and 19.7 applies to Experts living in Latin America.
21. Changes to this Agreement
21.1 TeamEx may update this Agreement by posting the new version with a new Last Updated date and version number and telling you by email or in-product notice.
21.2 A material change requires your re-acceptance by ticking a new, unchecked box. Until you re-accept, the version you last accepted governs, and we may limit new Introductions if the change is needed for them. A change never alters an Expert Engagement Confirmation you have already accepted.
22. Notices
Notices to TeamEx go to legal@teamex.ai or by post to TeamEx Inc., 332 S Michigan Ave, Suite 121 #5233, Chicago, IL 60604. Privacy requests go to privacy@teamex.ai or through the Platform. Notices to you go to the email address on your account or by in-product notice and are effective when sent to the correct address; keep your email address current.
23. Term, your right to leave and survival
23.1 This Agreement starts on your Acceptance Date and continues until you or TeamEx end it. You may end it at any time by closing your account or emailing the legal notice address in Section 22. On closure we remove your Profile from Client view immediately and delete or de-identify your personal information as the Privacy Policy describes, subject to legal holds, record-keeping duties and the retention periods stated there.
23.2 Closing your account does not end an active Direct Hire or Contract Engagement, which continue under your agreements with the Client or the Provider, or a Protection Period already running.
23.3 Sections 2, 7.4, 11.2 and 11.3 (for the remainder of any Protection Period), 11.6, 11.7, 12, 13.2, 14, 17, 18, 19, 20, 22, 23 and 24 survive for as long as they have effect.
24. Order of precedence and general terms
24.1 If documents conflict, this order applies, highest first: (1) the Expert Engagement Confirmation, for its designed fields and Special terms only; (2) this Experts Agreement; (3) the Terms of Use. An Expert Engagement Confirmation cannot reduce your rights under Sections 2, 11.3, 17 or 19. The Privacy Policy and the AI & Verification Notice describe our practices; they are informational, are not incorporated into this Agreement, and create no contractual obligations beyond those stated here.
24.2 Your agreements with the Provider and with any Client are separate; this Agreement does not change them, and they do not change this Agreement.
24.3 This Agreement, with the Expert Engagement Confirmations you accept and the Terms of Use, is the entire agreement between you and TeamEx about its subject. An unenforceable term is limited to the minimum extent needed and the rest stands. Not enforcing a term is not a waiver. You may not assign this Agreement; TeamEx may assign it to a successor on notice to you. Headings are for convenience only.
24.4 This Agreement is written in English. If TeamEx offers a convenience translation, the English text controls, except where the law of the place where you live requires otherwise.
25. How you accept this Agreement
You accept this Agreement by ticking an unchecked box next to a link to the current version, at account creation and again whenever a material change requires re-acceptance. Ticking the box is your electronic signature, and you agree to transact with TeamEx electronically. At acceptance the Platform records the version number, date and time, your account identifier and IP address, and makes a copy of each accepted version available for you to download. Expert Engagement Confirmations are accepted the same way before the Start Date.
